CloudSync ERP Infrastructure

1. Master Service Agreement

This document constitutes a Master Service Agreement (MSA) between CloudSync ERP and the User. By initializing the software instance, you acknowledge that you have the legal authority to bind your organization to these terms. This agreement governs all modules including HRMS, CRM, Finance, and Supply Chain Management.

2. Scope of License

We grant a limited, non-exclusive, non-sublicensable license to access the ERP platform. Unlike traditional software, our ERP is a "Living Product"—we push updates weekly. Your license includes all security patches and minor version upgrades. Use of the software for competitive benchmarking or creating a derivative work is strictly prohibited and will result in immediate termination.

3. Service Level Agreement (SLA)

We guarantee a Monthly Uptime Percentage of 99.95%. In the event of a Service Outage, CloudSync ERP will issue Service Credits to your account. Our support tiers are as follows:
- Priority 1 (Critical): Response within 1 hour.
- Priority 2 (High): Response within 4 hours.
- Priority 3 (Normal): Response within 12 hours.

4. Acceptable Use & Governance

Users must not use the ERP for any illegal transactions, including money laundering or financing prohibited activities. We reserve the right to suspend any account that exhibits "bot-like" behavior or attempts to scrape data at a rate that degrades the experience for other tenants in our shared infrastructure.

5. Intellectual Property

All algorithms, UI/UX designs, and proprietary code remain the sole property of CloudSync ERP. Any feedback provided by the user regarding feature requests may be implemented into the core product without financial obligation, though we often credit our power users in our release notes.
